Just Can't Stop Remix Contest

NO PURCHASE NECESSARY. VOID WHERE PROHIBITED. BY ENTERING, ENTRANT AGREES TO BE BOUND BY THESE OFFICIAL RULES AND THE DECISIONS OF SOUNDCLOUD AND THE JUDGES, WHICH SHALL BE FINAL IN ALL RESPECTS.

CONTEST PERIODS:

Marshmello’s ‘Remix The Roots’ (“Contest”) starts on November 18, 2024 at 12:00 pm Pacific Standard Time (“PST”) and ends on December 15, 2024 at 11:59 pm ET ("Entry Period"). All Entries (as defined below) received after the Entry Period are automatically disqualified.

ELIGIBILITY:

The Contest is open to individuals in the United States and its territories, who are eighteen (18) years of age or older as of the date of entry, have a current, valid account on SoundCloud as of the date of entry and through the completion of the Contest. Employees of SoundCloud Inc. ("SoundCloud") and (“Marshmello Creative, LLC.”) (collectively, the “Contest Parties”) and their respective parents, subsidiaries, affiliates, and advertising and promotion agencies, and members of their immediate family (spouse and parent, children and siblings, and their respective spouses, regardless of where they reside) and persons living in the same household, whether or not related, of such employees, are not eligible to enter or win. Contest is subject to all applicable federal, state and local laws. By participating, each entrant (“Entrant” or “you”) agrees to abide by these Official Rules and the decisions of the Contest Parties and the judges, which shall be final and binding in all respects relating to this Contest. The Entrant (i) will be deemed the individual submitting the Entry.

HOW IT WORKS:

Download Marshmello’s official stems for the song “Just Can’t Stop”, exclusively via SoundCloud (or a partner third party website as determined by the Contest Parties), and create your own remix in your own style (collectively, the “Remix”).

HOW TO ENTER:

To enter the Contest during the Entry Period, you must:

1. Upload your Remix to your SoundCloud page and use the hashtag #RemixTheRoots; and

2. Complete and submit the online entry form at https://fadr.com/contest/marshmello/submit (“Contest Website”) with all required information, including the link to your Remix on your SoundCloud page. Your submission, together with all components of the Remix (including, without limitation, the music, lyrics (if any), arrangement, and recording), shall be collectively referred to as an “Entry”.

The number of Entries an Entrant may submit is limited to one (1) submission, but Entrants may submit multiple Remixes to the Contest provided that each Remix accompanying any Entry must be unique and submitted separately to be eligible. Submitting the same Remix multiple times may disqualify an Entrant. If collaborating, only the person submitting the Entry will be deemed the Entrant. All Entrants must have SoundCloud accounts and it must be set to “Public” to enter. All applicable SoundCloud terms and conditions apply. Uploading an Entry shall constitute Entrant’s agreement to these Official Rules.

‍By submitting an Entry, Entrant represents and warrants that the Entry does not contain unlicensed samples and/or vocals and conforms to these Official Rules and understands that the Contest Parties, in its sole discretion, may disqualify the Entry for any reason, including if it determines the Entry fails to conform to these Official Rules in any way or otherwise contains unacceptable content.

WINNER DETERMINATION:

All eligible Entries received will be judged by a panel of qualified judges, selected by SoundCloud and Marshmello. the Contest Parties reserves the right to not award the prize if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Entries.

PRIZES:

The 1ST place prize is: (i) one (1) QD-OLED curved gaming performance monitor; (ii) one (1) linear gaming keyboard; (iii) one (1) lightweight wireless gaming mouse; (iv) one (1) ‘The Roots’ photo print signed by Marshmello; (v) one (1) merchandise discount code for the official Marshmello merch shop; and (vi) one (1) 1 Year of SoundCloud Next Pro.

The 2nd place prize is: (i) one (1) gaming keyboard; (ii) one (1) lightweight wireless gaming mouse; (iii) one (1) gaming headset; (iv) one (1) ‘The Roots’ photo print signed by Marshmello; and (v) one (1) merchandise discount code for the official Marshmello merch shop.

The 3rd place prize is: (i) one (1) gaming keyboard; (ii) one (1) Lightweight wireless gaming mouse; (iii) one (1) ‘The Roots’ photo print signed by Marshmello; and (iv) one (1) merchandise discount code for the official Marshmello merch shop.

Winner may not substitute, assign or transfer prizes. The Contest Parties reserve the right, at its sole discretion, to substitute prize (or portion thereof) with one of comparable or greater value. All federal, state and local taxes associated with prize acceptance and use are the sole responsibility of the winner (and any Collaborators, as applicable). All prize details are at the Contest Parties sole discretion.

WINNER NOTIFICATION AND REQUIREMENTS:

Potential winners will be notified via the email address used to submit the Remix. If the winner is at least eighteen (18) but still considered a minor in the winner’s jurisdiction of residence, the Contest Parties reserves the right to require the winner’s parent or legal guardian to fulfill all requirements imposed on the winner as set forth herein.

CONTENT RESTRICTIONS:

Entry may not contain, as determined by the Contest Parties in their sole discretion, any content that:

• violates SoundCloud’s Community Guidelines;
• endorses any form of hate or hate group;
• defames, misrepresents, or contains disparaging remarks about Contest Parties, the irrespective products or services;
• contains the names, likenesses, or other indicia of any person, living or dead, without permission; or
• violates any law or regulation.

GRANT OF RIGHTS:

Without limiting any of the rights granted herein, Entrant hereby grants to the Contest Parties and their respective designees, licensees, successors, and assigns a nonexclusive, worldwide, royalty-free license to use, reproduce, distribute, display, publicly perform, create derivative works based upon, and otherwise exploit the Entry (including, without limitation, the Remix and any elements thereof), together with any other material, edited or modified as the Contest Parties see fit, in any manner, in any and all media now known or hereafter devised, in perpetuity, for any purposes whatsoever, including, without limitation, for purposes of advertising or trade, without further compensation to, notification of, or permission from Entrant or any third party. Without limiting any of the rights granted herein, Entrant hereby grants to the Contest Parties and their respective designees, licensees, successors, and assigns a nonexclusive, worldwide, royalty-free license to use, reproduce, distribute, display, publicly perform, create derivative works based upon, and otherwise exploit the Entrant’s name, social media handles, picture, likeness, voice, biographical information, and performance, together with any other material, edited or modified as the Contest Parties see fit, in any manner, in any and all media now known or hereafter devised, in perpetuity, for any purposes whatsoever, including, without limitation, for purposes of advertising or trade, without further compensation to, notification of, or permission from Entrant or any third party. The Contest Parties shall have the right, but not the obligation, to give Entrant name credit in connection with any use of their Remix, all as determined by the Contest Parties in their sole discretion. Entrant acknowledges and agrees that the Contest Parties shall have no obligation to exercise the rights granted herein. Entrant also acknowledges and agrees that Entry may be posted or linked, without limitation, on the Contest Parties’ websites and social media pages and may be available to anyone with access to the internet. Entrant agrees that the Contest Parties are not responsible for any unauthorized use of Entries by any third party. By entering this Contest, Entrants give their express permission to be contacted by Contest Parties, or their respective designated agents, by email or direct message for Contest administration purposes only.

RELEASE OF LIABILITY:

By participating, each Entrant agree to release, indemnify, discharge and hold harmless each of the Contest Parties, and their respective parent, affiliates, subsidiaries, and advertising and promotion agencies, and their respective owners, officers, directors, shareholders, employees, agents and representatives of the foregoing (collectively, “Released Parties”) from and against any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from Entrant’s participation in the Contest or any Contest-related activity, the acceptance, possession, use or misuse of the prize and/or the Released Parties’ exercise of the rights granted herein.

IF ENTRANT IS A CALIFORNIA RESIDENT, ENTRANT WAIVES ANY AND ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF THE STATE OF CALIFORNIA, WHICH PROVIDES AS FOLLOWS: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”

DISPUTES:

To the extent permitted by applicable law, by entering the Contest, Entrant agrees that any and all disputes, claims and causes of action arising out of the Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate federal or state court located in Los Angeles, California. All issues and questions concerning these Official Rules, Entrants’ rights and obligations, or the Contest Parties’s rights and obligations shall be governed by the laws of the State of California, without giving effect to any choice of law or conflict of law rules.

The names of the winners will be available after December 15, 2024.
